Agreement To Our Legal Terms

We are Livy Labs Systems, Corp. ("Company," "we," "us," or "our"). We operate the website https://livylabs.xyz and related products, software, APIs, SDKs, documentation, beta programs, and services that link to these Terms & Conditions (collectively, the "Services").

Livy provides policy, evidence, approval, and receipt infrastructure for AI agents and software systems that may request value-moving actions, including trading, payments, DeFi automation, wallet workflows, and protocol operations.

These Terms & Conditions form a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Livy Labs Systems, Corp. concerning your access to and use of the Services. By accessing or using the Services, you agree that you have read, understood, and agreed to be bound by these Terms. If you do not agree with these Terms, you must discontinue use immediately.

We may update these Terms from time to time. The "Last updated" date above shows when these Terms were last revised. Your continued use of the Services after revised Terms are posted means you accept the revised Terms. The Services are intended for users who are at least 18 years old.

1. Our Services

The Services are provided for business and technical evaluation. Livy is currently focused on private beta and design partner workflows. Some features may be experimental, incomplete, rate-limited, disabled, or changed without notice.

The Services are not tailored to comply with industry-specific regulations such as HIPAA, FISMA, GLBA, or similar regulatory frameworks unless a separate written agreement expressly says otherwise. You are responsible for determining whether your use of the Services complies with laws and regulations that apply to you.

Livy is not a broker, exchange, investment adviser, bank, custodian, or fiduciary. Information provided through the Services is not financial, legal, tax, or investment advice.

2. Intellectual Property Rights

We own or license the intellectual property rights in the Services, including software, source code, databases, designs, text, graphics, documentation, trademarks, service marks, and logos (collectively, the "Content" and "Marks").

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business evaluation and authorized integration work.

Except as expressly allowed by these Terms or a separate written agreement, you may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, reverse engineer, or otherwise exploit any part of the Services, Content, or Marks for a commercial purpose without our prior written permission.

Any breach of this section is a material breach of these Terms and may result in immediate termination of your right to use the Services.

3. Your Submissions And Feedback

If you send us questions, comments, ideas, suggestions, bug reports, product feedback, or other information about the Services ("Submissions"), you grant us the right to use those Submissions for any lawful purpose without compensation to you.

You are responsible for the information you provide. You represent that your Submissions do not violate applicable law, infringe third-party rights, contain confidential information you are not authorized to share, or include illegal, harmful, misleading, abusive, or discriminatory material.

4. User Representations

By using the Services, you represent and warrant that:

  • any registration or onboarding information you provide is true, accurate, current, and complete;
  • you have legal capacity and authority to agree to these Terms;
  • you are not a minor in the jurisdiction where you reside;
  • you will not use the Services for an illegal or unauthorized purpose;
  • your use of the Services will comply with applicable law;
  • you will not access the Services through unauthorized automated or non-human means; and
  • you will not misrepresent your identity, permissions, product, authority, wallet ownership, or transaction intent.

If information you provide is untrue, inaccurate, not current, or incomplete, we may suspend or terminate your access to the Services.

5. Accounts And Access Credentials

You may be required to create an account, workspace, API key, runtime key, or other credential to use parts of the Services. You are responsible for keeping credentials confidential and for all activity under your account or credentials.

You must notify us promptly if you believe your account, workspace, key, wallet, signer, or integration has been compromised. We may rotate, revoke, suspend, or restrict credentials when needed to protect the Services, our users, or third parties.

6. Beta Access, Purchases, And Subscriptions

Livy may offer free beta access, paid pilots, subscriptions, enterprise plans, or usage-based pricing. Any commercial terms, pilot terms, subscription fees, usage limits, payment methods, renewal terms, cancellation rights, and taxes may be described in an order form, invoice, checkout flow, or separate written agreement.

If you purchase paid Services, you agree to provide current, complete, and accurate billing information. You authorize us or our payment processor to charge the applicable amounts. We may correct pricing errors and may refuse or cancel orders in our discretion.

Unless a separate written agreement says otherwise, beta access is provided for evaluation and may be modified, limited, or discontinued at any time.

7. Value-Moving Actions And Mainnet Use

Livy is designed to help teams check policy, evidence, approvals, capabilities, and receipts before an agent-requested action executes. You remain responsible for your agents, tools, wallets, signers, policies, integrations, users, and transactions.

You may not use production mainnet funds, customer funds, third-party funds, or high-value workflows through the Services unless we have expressly approved that use in writing and the required launch, custody, policy, monitoring, and emergency controls are complete.

Blockchain transactions may be irreversible. External protocols, RPC providers, APIs, wallets, exchanges, DEXs, bridges, data providers, and other systems may fail, return stale data, be exploited, or behave unexpectedly. You assume responsibility for evaluating those risks.

8. Prohibited Activities

You may not access or use the Services for any purpose other than the purpose for which we make them available. You agree not to:

  • systematically retrieve data or content from the Services to create a collection, database, or directory without written permission;
  • trick, defraud, mislead, or impersonate us, our users, or third parties;
  • attempt to learn, extract, or misuse sensitive information, passwords, API keys, private keys, session tokens, wallet credentials, or signing material;
  • circumvent, disable, or interfere with security-related features or usage limits;
  • use the Services to process unauthorized, fraudulent, illegal, deceptive, or harmful transactions;
  • upload or transmit malware, malicious code, exploits, spam, or material that disrupts the Services;
  • use scrapers, bots, data mining tools, or unauthorized automation against the Services;
  • delete proprietary notices from Content;
  • harass, threaten, abuse, or harm any person;
  • attempt to bypass access restrictions or authentication controls;
  • copy, adapt, decipher, decompile, disassemble, or reverse engineer the Services except where applicable law expressly permits;
  • use the Services to compete with us or build a substantially similar product using non-public Services information; or
  • use the Services in any way that violates applicable law or regulation.

9. User Contributions

The Services may allow you to create, submit, upload, transmit, or provide content, data, policies, wallet information, transaction requests, evidence, logs, configuration, or other materials ("Contributions").

You retain ownership of your Contributions. You grant us the rights needed to host, process, transmit, display, analyze, secure, and use Contributions to provide, maintain, protect, and improve the Services.

You represent that you have all rights and permissions needed to provide Contributions and that your Contributions do not infringe third-party rights, violate law, contain unauthorized confidential information, or include malicious content.

10. Third-Party Websites, Protocols, And Services

The Services may link to or integrate with third-party websites, protocols, APIs, wallets, chains, RPC providers, DEXs, payment providers, analytics providers, cloud providers, and other services. We are not responsible for third-party services, content, data, availability, security, privacy practices, fees, or transaction outcomes.

Your use of third-party services is at your own risk and may be governed by separate terms and policies from those third parties.

11. Services Management

We reserve the right, but not the obligation, to monitor the Services for violations of these Terms, investigate suspected misuse, restrict or disable access, remove or disable content, rotate or revoke credentials, and take any action we believe is appropriate to protect the Services, our users, third parties, or our rights.

12. Privacy

Please review our Privacy Policy. By using the Services, you agree that we may collect, use, and process information as described in the Privacy Policy.

The Services are operated from the United States. If you access the Services from another region, you understand that information may be transferred to and processed in the United States or other locations where our service providers operate.

13. Term And Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access to the Services at any time if we believe you violated these Terms, created risk for the Services or others, or used the Services in a way that may cause legal, security, operational, or reputational harm.

If your access is terminated or suspended, you may not create another account or access the Services through another person or entity without our written permission.

14. Modifications And Interruptions

We may change, update, suspend, discontinue, or remove parts of the Services at any time. We do not guarantee that the Services will be available at all times or free from interruptions, delays, errors, bugs, data loss, or security events.

You agree that we are not liable for any loss, damage, or inconvenience caused by your inability to access or use the Services during downtime, maintenance, beta changes, provider failures, or discontinuance.

15. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, and security.

We do not warrant that policy checks, evidence validation, simulations, approvals, receipts, blockchain data, external quotes, or third-party integrations will be complete, accurate, current, uninterrupted, or error-free.

16. Limitation Of Liability

To the fullest extent permitted by law, Livy Labs Systems, Corp. and its affiliates, officers, employees, agents, service providers, and partners will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, transaction losses, market losses, or loss of digital assets.

Nothing in these Terms limits liability where applicable law does not allow limitation.

17. Indemnification

You agree to defend, indemnify, and hold us harmless from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Services, your agents or integrations, your Contributions, your violation of these Terms, your violation of law, or your violation of any third-party rights.

18. Governing Law And Dispute Resolution

Unless a separate written agreement says otherwise, these Terms are governed by applicable law without regard to conflict-of-law principles. Any dispute must be brought in a court with proper jurisdiction over the dispute and the parties.
